These Terms of Service (“Terms”) govern your use of the Rally Business mobile application (the “Business App”), operated by Wait Watch LLC, doing business as Rally (“Rally,” “we,” “us,” or “our”). By downloading, installing, or using the Business App, you agree to be bound by these Terms. If you do not agree, do not use the Business App. These Terms are separate from the terms of service for the consumer Rally app.

1. Eligibility and Account Registration

The Business App is intended for venue owners and staff and is limited to users 18 and older. To use the Business App, you must create an account using an email address and password, Apple Sign-In, or Google Sign-In. You are responsible for maintaining the security of your account credentials. You agree to provide accurate information and to update it as necessary.

2. Venue Claiming and Verification

You may only claim and manage a venue you are genuinely authorized to represent, as an owner, manager, or staff member. Claiming a venue requires completing a Stripe-hosted identity and business verification flow; we may also require manual review before approving a claim, and we may request additional verification or revoke operator access at any time. Operator accounts posting misleading information about their own or competing venues may be suspended or terminated.

3. Wait-Time Updates and Venue Content

The Business App lets you post official wait-time updates, hours, specials, branding, and photos for venues you manage. Operator wait-time updates are labeled and weighted differently from consumer-submitted reports in the consumer Rally app. You are responsible for the accuracy of the content you post.

4. Rally Visibility Subscription

Venue operators may subscribe to Rally Visibility, a $39/month auto-renewing subscription that unlocks enhanced visibility features for a venue, including a verified badge, photos, specials, eligibility for Featured Bidding, and access to venue analytics. Visibility subscriptions are billed through Stripe, renew automatically each month until canceled, and can be canceled at any time from the Business App or through Stripe; canceling stops future renewals but does not refund the current billing period. Unclaimed or unsubscribed venues may still appear in the consumer Rally app with a bare listing (name and live wait time only).

5. Featured Bidding

Operators with an active Rally Visibility subscription may bid for a Featured placement within their market on a recurring, auction basis. Featured Bidding is a separate, additional paid product from the Visibility subscription. Bidding requires a saved payment method on file with Stripe; the winning bid is charged automatically when the auction closes. Bidding terms, minimum bid, and pricing are presented in the Business App before you commit to a bid. Bids are non-refundable once an auction closes and you are the winning bidder.

6. Consumer Ratings and Feedback

Consumers may rate and leave feedback on venues you manage. Ratings and written feedback, including the submitting consumer’s username, are visible to you so you can respond to your venue’s performance. You may not offer or provide compensation to consumers in exchange for ratings or reviews, and you may not attempt to manipulate, suppress, or falsify ratings.

7. User Conduct

You agree not to:

  • Post false, misleading, or intentionally inaccurate information about your venue or a competing venue
  • Claim, or attempt to claim, a venue you are not authorized to represent
  • Use the Business App to harass, bully, or threaten other users
  • Attempt to access other operators’ accounts or private data
  • Use automated tools, bots, or scrapers to interact with the Business App or its backend
  • Upload images or post content that is illegal, offensive, or infringes on the rights of others
  • Interfere with the operation, security, or performance of the Business App

We reserve the right to suspend or terminate accounts that violate these Terms without prior notice.

8. User-Generated Content

By submitting content to the Business App (including venue details, wait-time updates, specials, and photos), you grant Rally a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content within the Rally consumer and Business apps for the purpose of operating the service. You represent that you have the right to submit any content you provide, including any photos shared with you by consumers, and that it does not infringe any third party’s rights.

9. Objectionable Content; Zero Tolerance

Rally has zero tolerance for objectionable content and abusive behavior. Content or conduct that is defamatory, obscene, pornographic, threatening, harassing, hateful, or otherwise objectionable is strictly prohibited and is not tolerated under any circumstances. All uploaded photos and posted text are screened through automated content moderation (see our Privacy Policy) before being shown to consumers. Operators who post objectionable content will have their content removed and their account suspended or permanently terminated, at our sole discretion and without prior notice.

10. Copyright Complaints (DMCA)

We respect the intellectual property rights of others and expect users to do the same. If you believe content on the Business App infringes your copyright, send a written notice to masonpfitz@gmail.com that includes: (a) a description of the copyrighted work you claim has been infringed; (b) a description and location within the Business App of the material you claim is infringing; (c) your contact information (name, address, phone number, email); (d) a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; (e) a statement, made under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the owner’s behalf; and (f) your physical or electronic signature. Upon receiving a valid notice, we will remove or disable access to the reported content. We will terminate, in appropriate circumstances, the accounts of users who are repeat infringers.

11. Intellectual Property

The Business App, its design, features, code, and branding are the property of Wait Watch LLC. You may not copy, modify, distribute, or create derivative works based on the Business App.

12. Privacy

Your use of the Business App is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

13. Third-Party Services

The Business App relies on Stripe for payment processing and identity verification, and may link to other third-party services and external websites. We are not responsible for the content, privacy practices, or availability of third-party services.

14. Disclaimer of Warranties

The Business App is provided “as is” and “as available” without warranties of any kind, either express or implied. We do not warrant that the Business App will be uninterrupted, error-free, or free of harmful components.

15. Limitation of Liability

To the maximum extent permitted by law, Wait Watch LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Business App, including but not limited to loss of revenue, loss of data, or service interruptions.

16. Account Termination

You may delete your account at any time from the Business App’s settings. Account deletion permanently removes your personal account data and revokes your management access to any venues; it does not cancel or refund any pending Rally Visibility subscription or Featured Bidding charge, which you must cancel separately before deleting your account. We may also terminate or suspend accounts that violate these Terms.

17. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by updating the “Last Updated” date. Continued use of the Business App after changes constitutes acceptance of the revised Terms.

18. Dispute Resolution; Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law provisions. Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Business App shall first be attempted to be resolved through good-faith informal negotiation by contacting us at masonpfitz@gmail.com. If a dispute cannot be resolved informally within 30 days, it shall be resolved by binding arbitration administered under the rules of the American Arbitration Association, conducted in Alachua County, Florida (or remotely, or another mutually agreed location), rather than in court, except that either party may bring an individual claim in small claims court. Any arbitration, and any litigation not subject to arbitration, shall be venued exclusively in the state or federal courts located in Alachua County, Florida. You and Rally each waive any right to a jury trial or to participate in a class action.
